BY CLICKING “ACCEPT” OR USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.

1. License Grant. The Vendor grants the User a non-exclusive, non-transferable license to use the Software in accordance with the terms and conditions of this Agreement.

2. Ownership. The Software and all intellectual property rights in the Software are owned by the Vendor and are protected by applicable intellectual property laws.

3. Restrictions on Use. The User may only use the Software on the number of devices specified in the license key provided by the Vendor. The User may not reverse engineer, decompile, or disassemble the Software, except to the extent that such activities are expressly permitted by applicable law.

4. Warranty and Liability. The Software is provided “AS IS” without any warranties, express or implied. The Vendor shall not be liable for any damages whatsoever arising out of the use of the Software, including but not limited to direct, indirect, incidental, special, or consequential damages.

5. Termination. This Agreement will terminate automatically if the User fails to comply with any of its terms and conditions. Upon termination, the User must immediately cease using the Software and destroy all copies of the Software in the User’s possession.

6. Updates and Upgrades. The Vendor may provide updates and upgrades to the Software from time to time. The User may be required to pay additional fees to receive such updates and upgrades.

7. Jurisdiction and Venue. This Agreement shall be governed by and construed in accordance with the laws of the State of California. Any dispute arising out of or in connection with this Agreement shall be resolved in the state or federal courts located in Santa Clara County, California.

By clicking “Accept” or using the Software, the User acknowledges that he or she has read this Agreement, understands it, and agrees to be bound by its terms and conditions. If the User does not agree to the terms and conditions of this Agreement, he or she should not use the Software.
